Rigrodsky & Long, P.A. Announces Investigation Of BBX Capital Corporation (NYSE: BBX) Buyout

Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of BBX Capital Corporation (“BBX Capital” or the “Company”) (NYSE: BBX) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to be acquired by BFC Financial Corporation (“BFC Financial”) (OTC QB: BFCF).

Under the terms of the agreement, BBX Capital's shareholders other than BFC Financial will be entitled to receive, at their election, 5.4 shares of BFC Financial's Class A Common Stock or $20.00 in cash for each share of BBX Capital's Class A Common Stock held by them.  BBX Capital's shareholders will have the right to elect to receive all cash, all stock, or a combination of cash and stock in exchange for their shares.  BFC Financial currently owns approximately 81% of BBX Capital's Class A Common Stock and 100% of its Class B Common Stock.

The investigation concerns whether BBX Capital’s board of directors failed to adequately shop the Company and obtain the best possible value for BBX Capital’s shareholders before entering into an agreement with BFC Financial.
