Rigrodsky & Long, P.A. Announces Investigation Of Cascade Microtech, Inc. (NASDAQ GM: CSCD) Buyout

Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of Cascade Microtech, Inc. (“Cascade Microtech” or the “Company”) (NASDAQ GM: CSCD) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to be acquired by FormFactor, Inc. (“FormFactor”) (NASDAQ GS: FORM), in a transaction valued at approximately $352 million.

Under the terms of the agreement, shareholders of Cascade Microtech will receive $16.00 in cash and 0.6534 of a share of FormFactor common stock for each share of Cascade Microtech they own.  Based on FormFactor’s closing stock price on February 3, 2016, Cascade Microtech shareholders would have received compensation valued at approximately $21.13 per share.

The investigation concerns whether Cascade Microtech’s board of directors failed to adequately shop the Company and obtain the best possible value for Cascade Microtech’s shareholders before entering into an agreement with FormFactor.
