Rigrodsky & Long, P.A. Announces Investigation Of Diamond Resorts International, Inc. (NYSE: DRII) Buyout

Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of Diamond Resorts International, Inc. (“Diamond Resorts” or the “Company”) (NYSE: DRII) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to be acquired by affiliates of certain funds (the “Apollo Funds”) managed by affiliates of Apollo Global Management, LLC (together with its consolidated subsidiaries, “Apollo”) (NYSE: APO), in a transaction valued at approximately $2.2 billion.

Under the terms of the agreement, shareholders of Diamond Resorts will receive $30.25 in cash for each share of Diamond Resorts common stock.

The investigation concerns whether Diamond Resorts’ board of directors failed to adequately shop the Company and obtain the best possible value for Diamond Resorts shareholders before entering into an agreement with Apollo.  According to Yahoo! Finance, at least one analyst has issued a price target for Diamond Resorts stock at $35.00 per share.
