Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of EMC Corporation (“EMC” or the “Company”) (NYSE: EMC) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to be acquired by Dell Inc. (“Dell”), in a transaction valued at approximately $67 billion.

Under the terms of the agreement, shareholders of EMC will receive $24.05 in cash in addition to tracking stock linked to a portion of EMC’s economic interest in VMware, Inc. (NYSE: VMW), for each share of EMC common stock.

The investigation concerns whether EMC’s board of directors failed to adequately shop the Company and obtain the best possible value for EMC’s shareholders before entering into an agreement with Dell.  According to Yahoo! Finance, at least one analyst has issued a price target for EMC stock at $34.00 per share.
