Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of Platinum Underwriters Holdings, Ltd. (“Platinum” or the “Company”) (NYSE: PTP) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to be acquired by RenaissanceRe Holdings Ltd. (“RenaissanceRe”) (NYSE: RNR), in a transaction valued at approximately $1.9 billion.

Under the terms of the agreement, shareholders of Platinum will receive a $10.00 per share special pre-closing dividend with the remainder of the consideration, at their election, consisting of (i) $66.00 per Platinum share in cash, (ii) 0.6504 RenaissanceRe common shares per Platinum share, or (iii) a combination of $35.96 in cash and 0.2960 RenaissanceRe common shares per Platinum share, subject to proration.

The investigation concerns whether Platinum’s board of directors failed to adequately shop the Company and obtain the best possible value for Platinum’s shareholders before entering into an agreement with RenaissanceRe.
