Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of Susquehanna Bancshares, Inc. (“Susquehanna” or the “Company”) (NASDAQ GS: SUSQ) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to be acquired by BB&T Corporation (“BB&T”) (NYSE: BBT), in a transaction valued at approximately $2.5 billion.

Under the terms of the agreement, shareholders of Susquehanna will receive 0.253 shares of BB&T common stock and $4.05 in cash for each share of Susquehanna common stock.  Based on BB&T’s closing stock price on November 11, 2014, Susquehanna shareholders would have received consideration valued at approximately $13.75 per share.

The investigation concerns whether Susquehanna’s board of directors failed to adequately shop the Company and obtain the best possible value for Susquehanna’s shareholders before entering into an agreement with BB&T.
