Rigrodsky & Long, P.A. Announces Investigation Of Wright Medical Group, Inc. (NASDAQ GS: WMGI) Merger

Rigrodsky & Long, P.A. announces that it is investigating potential legal claims against the board of directors of Wright Medical Group, Inc. (“Wright Medical” or the “Company”) (NASDAQ GS: WMGI) regarding possible breaches of fiduciary duties and other violations of law related to the Company’s entry into an agreement to merge with Tornier N.V. (“Tornier”) (NASDAQ GS: TRNX), in a transaction valued at approximately $3.3 billion.

Under the terms of the agreement, each outstanding share of Wright Medical common stock will be exchanged for 1.0309 ordinary shares of Tornier.  Upon completion of the merger, Wright shareholders will own approximately 52% of the shares of the combined company on a fully diluted basis and Tornier shareholders will own approximately 48%.  Based on Tornier’s closing stock price on October 24, 2014, Wright Medical shareholders would have received consideration valued at approximately $24.32.

The investigation concerns whether Wright Medical’s board of directors failed to adequately shop the Company and obtain the best possible value for Wright Medical’s shareholders before entering into an agreement with Tornier.  According to Yahoo! Finance, at least one analyst has issued a price target for Wright Medical stock at $40.00 per share.
